3.3 Unless expressly stated otherwise in an Order, all Services are provided on a professional advisory and consultancy basis and do not constitute legal, tax, accounting, investment, or regulated financial advice. You are responsible for obtaining your own independent professional advice where appropriate.
3.4 Seylutions may update, modify, or discontinue certain aspects of the Services from time to time. Any material change to Services already contracted under an active Order will be discussed with you in good faith and agreed in writing.

- Copy, reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from any Seylutions Materials, except to the extent expressly permitted by applicable law; or
- Remove, alter, or obscure any proprietary notices, trademarks, or other intellectual property markings on or in the Seylutions Materials.
5.4 You retain ownership of all data, content, and materials you provide to Seylutions (the "Client Materials"). You grant Seylutions a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and otherwise process the Client Materials solely as necessary to provide the Services and to comply with applicable laws.
5.5 Seylutions may use aggregated and anonymised data derived from the provision of the Services for the purposes of analytics, service improvement, benchmarking, and thought leadership, provided that such data does not identify you or any of your customers or employees.
6. User Responsibilities
6.1 You agree to cooperate with Seylutions in good faith and to provide, in a timely manner, all information, access, decisions, resources, and approvals reasonably required for Seylutions to perform the Services.
6.2 You represent and warrant that all information and materials you provide to Seylutions are accurate, complete, lawful, and up to date, and that you have obtained all necessary rights, consents, approvals, and licences to share and use such information and materials for the purposes of the Services.
6.3 You are responsible for ensuring that your internal systems, infrastructure, and personnel are adequate to support the implementation and ongoing operation of the solutions and recommendations provided by Seylutions. Seylutions shall not be liable for delays, failures, or additional costs arising from your failure to meet this responsibility.
6.4 You agree not to use the Services or any Seylutions Materials for any unlawful, fraudulent, or unethical purposes, or in any manner that could damage, disable, overburden, or impair any Seylutions systems or infrastructure, or interfere with any other party’s use and enjoyment of the Services.
6.5 You agree to comply with all applicable laws and regulations of the Republic of Seychelles and any other relevant jurisdiction in connection with your use of the website and the Services.
6.6 You are responsible for the actions and omissions of your employees, agents, and contractors in connection with their use of the website, the Services, and any Seylutions Materials, and for ensuring that they comply with these Terms and any applicable Orders.
6.7 You must keep any login details, passwords, or access credentials associated with the website or the Services secure and confidential, and you must notify us promptly if you suspect any unauthorised access or misuse.

8. Limitation of Liability
8.1 To the fullest extent permitted by law, Seylutions shall not be liable to you for any indirect, consequential, incidental, special, exemplary, or punitive damages of any kind, or for any loss of profit, revenue, business, opportunity, data, or goodwill, whether arising in contract, delict (tort), statute, or otherwise, even if Seylutions has been advised of the possibility of such damages.
8.2 To the fullest extent permitted by law, Seylutions’ total aggregate liability to you for all claims arising out of or in connection with the website, the Services, and these Terms (whether in contract, delict (tort), statute, or otherwise) shall not exceed the total fees actually paid by you to Seylutions under the relevant Order during the twelve (12) months immediately preceding the event giving rise to the claim.
8.3 Nothing in these Terms excludes or limits Seylutions’ liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under the laws of the Republic of Seychelles.
8.4 The Services are advisory in nature and are based on information, data, and assumptions provided by you and obtained from third-party sources. Seylutions does not warrant that the implementation of any recommendations or solutions will guarantee any particular financial, operational, or commercial outcome. You remain solely responsible for making your own business decisions.
9. Disclaimer of Warranties
9.1 The website, the Services, and all Seylutions Materials are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Seylutions disclaims all express, implied, and statutory warranties, including, without limitation, any implied warranties of fitness for a particular purpose, merchantability, non-infringement, or suitability for your specific business circumstances.

11. Payment Terms
11.1 Fees for the Services will be specified in the relevant Order. Unless otherwise stated, all fees are quoted in Seychelles Rupees (SCR) and are exclusive of all applicable taxes, duties, and levies, which shall be borne by the Client.
11.2 Invoices issued by Seylutions are payable within thirty (30) days of the invoice date, unless otherwise agreed in writing. Payment shall be made by bank transfer or such other method as specified on the invoice or agreed by the parties.
11.3 If you fail to make any payment when due, Seylutions may, without prejudice to any other rights or remedies:
- Charge interest on the overdue amount at the rate of one and a half percent (1.5%) per month (or the maximum rate permitted by law, if lower), accruing daily from the due date until the date of actual payment; and/or
- Suspend performance of the Services until all outstanding amounts, including any interest, have been paid in full.
11.4 All fees paid to Seylutions are non-refundable, except as expressly provided in these Terms or in the relevant Order, or where required by applicable law.
11.5 You are responsible for any bank charges, transfer fees, or other costs associated with making payment to Seylutions so that Seylutions receives the full invoiced amount.
11.6 Seylutions may review and adjust its standard fees from time to time. Any change to fees will not affect fees already agreed in an existing Order unless otherwise agreed in writing.
12. Termination of Services
12.1 Either party may terminate an Order or the provision of Services for convenience by giving the other party not less than thirty (30) days’ prior written notice, unless otherwise specified in the relevant Order.
12.2 Either party may terminate an Order or the provision of Services with immediate effect by giving written notice to the other party if:
- The other party commits a material breach of these Terms or the relevant Order and, where the breach is capable of remedy, fails to remedy such breach within fourteen (14) days of receiving written notice to do so; or
- The other party becomes insolvent, is placed under administration, enters into liquidation, or is otherwise unable to pay its debts as they fall due under the applicable law of the Republic of Seychelles.
12.3 Upon termination for any reason:
- You shall promptly pay all amounts due and payable to Seylutions for Services performed up to the effective date of termination, including any non-cancellable commitments and reasonable costs incurred by Seylutions as a result of the termination; and
- Each party shall, upon written request, return or securely destroy the other party’s confidential information, except to the extent that retention is required by law or for legitimate record-keeping purposes.
12.4 Termination of an Order or the Services shall not affect any rights, obligations, or liabilities that have accrued prior to the effective date of termination, nor any provisions of these Terms which by their nature are intended to survive termination (including, without limitation, clauses relating to intellectual property, confidentiality, limitation of liability, and governing law).
13. Governing Law
13.1 These Terms, any Order, and any dispute or claim arising out of or in connection with them (including any non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Seychelles.
13.2 Subject to any mandatory provisions of law, the courts of the Republic of Seychelles shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms or any Order.
14. Changes to These Terms
14.1 Seylutions may update or amend these Terms from time to time to reflect changes in our Services, business practices, or legal or regulatory requirements. The most current version of the Terms will be made available on our website.
14.2 Where changes are material and relate to Services you are currently receiving under an active Order, Seylutions will provide you with reasonable prior notice of such changes (by email or through our website or platform). Your continued use of the website or the Services after the effective date of the updated Terms will constitute your acceptance of the changes.
14.3 Any amendment or variation to an Order must be in writing and signed or otherwise expressly agreed by both parties.
